Why now

Regulators have made AI an exam topic.

FINRA's 2026 report

FINRA's 2026 Annual Regulatory Oversight Report added a section on generative AI and, for the first time, AI agents: supervision, testing, monitoring and agents acting beyond their authority.

Technology-neutral rules

FINRA's rules apply to AI as they apply to any other tool. Supervision, communications and recordkeeping obligations follow the output, whoever or whatever wrote it.

SEC exam priorities

The SEC Division of Examinations' 2026 priorities include advisers' use of AI and the accuracy of what firms say about it, known as "AI washing."

AI in Broker-Dealer Compliance

Dave walks through where AI is helping compliance teams today, where it goes wrong, what FINRA and the SEC expect, and a simple governance framework firms can put in place this quarter.

  • Summarization, e-comms triage and AML narratives
  • Hallucinations, bias, data leakage and "AI washing"
  • Supervision, recordkeeping and vendor oversight
  • A practical AI governance checklist

Firms may use this briefing within a Firm Element program based on their own needs analysis. Pair it with FINRA's AI resources below and record attendance.

Can broker-dealers use generative AI?

Yes. FINRA describes its rules as technology neutral, so they apply to AI as they do to any other tool. Your firm stays responsible for supervision, communications, recordkeeping and fair dealing when your people use AI.

Do we need written procedures for AI?

FINRA Rule 3110 requires a supervisory system reasonably designed for your business, including the tools your people use. FINRA's 2026 oversight report lists policies, review and approval, testing and ongoing monitoring among effective practices for generative AI.

What does the $5,000 AI Governance Readiness Review include?

An inventory of the AI your people and vendors use, a gap check against FINRA's 2026 generative AI guidance and the SEC's 2026 priorities, written AI supervisory procedures and an acceptable-use policy, vendor due-diligence questions, and a prioritized remediation plan with a briefing for your principals. The fee is credited toward your first month if you start an RND subscription within 60 days.

Can a small broker-dealer really outsource its FINOP?

Yes. Many introducing and non-carrying firms don't need a full-time Series 27 or 28 principal. We serve as your FINOP on a part-time basis, handling net capital, FOCUS reports, year-end schedules and auditor coordination for a predictable monthly fee.

Do you help start a new broker-dealer?

We handle the full new membership application — business plan, WSPs, financial projections, net capital planning, Form BD and preparation for the pre-membership interview — and then stay on to run compliance and operations once you're approved.

We're buying (or selling) a broker-dealer. Where do you fit?

Ownership changes usually require a continuing membership application under FINRA Rule 1017. We prepare it, advise on structure and tax implications, and update supervisory procedures for the combined business.

Do you help with the annual audit?

Yes. We prepare the year-end schedules, answer the auditor's requests and work alongside your independent auditor so the annual audited reports are filed on time.

We just got an exam request letter. Can you help now?

Yes. We regularly step in mid-exam to organize document production, respond to deficiency findings and put remediation in place. Call us as early as you can.

Where are your clients located?

We work with securities firms nationwide from our office in Calabasas, California, and we assist UK and EU firms with FCA registration.
